Effective Date: Upon Account Registration

1. ACCEPTANCE OF TERMS

By accessing, registering for, or using WrenchReady (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. WrenchReady LLC ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Service following notice of changes constitutes your acceptance of modified Terms.

2. DESCRIPTION OF SERVICE

WrenchReady is a cloud-based Software-as-a-Service (SaaS) compliance management platform designed for auto repair and collision shops. The Service includes features for hazardous waste tracking, Safety Data Sheet (SDS) library management, digital inspections, EPA manifest generation, training record tracking, and OSHA 300 log management.

Service Availability: The Service is provided on an "as-is" basis. We strive to maintain high availability but do not guarantee uninterrupted service. We may suspend or modify services for maintenance, updates, or due to technical or operational reasons with notice when practicable.

3. USER ELIGIBILITY AND ACCOUNTS

3.1 Eligibility Requirements

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service. Business entities represent that the individual registering has authority to bind the entity to these Terms.

3.2 Account Registration

You are responsible for:

  • Providing accurate, complete, and current information during registration
  • Maintaining the confidentiality of your username and password
  • Accepting responsibility for all activities that occur under your account
  • Notifying us immediately of unauthorized access to your account

We reserve the right to refuse service or terminate accounts that provide false or misleading information.

3.3 Multiple Accounts

Each subscription grants access to one account. Creating multiple accounts to circumvent usage limits or pricing is prohibited. Sharing login credentials across multiple users is not permitted; each team member must have their own account or use appropriate team/admin features included in your subscription tier.

4. SUBSCRIPTION, BILLING, AND AUTO-RENEWAL

4.1 Pricing and Plans

Current pricing is available on our website:

  • Monthly Plan: $60/month
  • Annual Plan: $600/year (equivalent to $50/month)

Prices are in USD and exclude applicable taxes unless otherwise stated. We reserve the right to modify pricing with 30 days' notice for existing customers. Price changes take effect at your next renewal date.

4.2 Automatic Renewal

By selecting a subscription plan, you authorize WrenchReady to automatically charge your payment method:

  • Monthly Plan: Every 30 days from your subscription start date
  • Annual Plan: Every 12 months from your subscription start date

4.3 Affirmative Consent

You expressly acknowledge and agree to be charged on a recurring basis according to your selected plan. This affirmative consent applies specifically to the pricing, frequency, and payment method you select during registration and any subsequent modifications you make to your account.

4.4 Cancellation and Easy Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months or years, except as required by law. You will retain access to the Service through the end of your paid period.

Easy Cancellation Method: You can cancel using the same method through which you subscribed—directly through your online account dashboard. We do not require phone calls, emails, or other cumbersome cancellation procedures.

4.5 Changes to Billing Information

You may update your payment method and billing information at any time through your account settings. If a charge fails, we will attempt to retry on your next recurring billing date. If payment fails, your subscription may be suspended.

4.6 Refunds and Credits

WrenchReady does not offer refunds for unused portions of subscription periods unless required by applicable law. We may, at our sole discretion, issue credits for service errors or disruptions.

4.7 Taxes

You are responsible for paying any applicable sales, VAT, GST, or other taxes that may apply to your subscription. We will calculate and collect taxes where legally required. Your invoice will itemize applicable taxes.

5. ACCEPTABLE USE

You agree not to use the Service:

  • For any illegal purpose or in violation of any applicable law
  • To upload, transmit, or distribute malware, viruses, or other harmful code
  • To attempt to gain unauthorized access to the Service or related systems
  • To interfere with or disrupt the integrity or performance of the Service
  • To engage in any form of harassment, abuse, or threatening behavior toward other users or Company staff
  • To scrape, crawl, or extract data from the Service without authorization
  • To reverse engineer, decompile, or attempt to discover the source code
  • To resell or redistribute the Service without explicit written permission
  • To use the Service to develop competing products or services
  • To violate others' intellectual property, privacy, or other rights
  • To engage in any deceptive or misleading practices
  • To store or transmit hazardous waste data in violation of EPA regulations or OSHA requirements

Compliance with Regulations: You represent that your use of the Service complies with all applicable federal, state, and local laws, including OSHA, EPA, and DOT regulations governing hazardous waste management, chemical storage, and occupational safety.

6. DATA OWNERSHIP AND USER CONTENT

6.1 Your Data

You retain all ownership rights to data you upload, create, or input into WrenchReady ("User Data"), including compliance documents, Safety Data Sheets, inspection records, training logs, and OSHA 300 logs.

6.2 License to WrenchReady

By uploading or inputting User Data, you grant WrenchReady a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and maintain User Data to provide the Service
  • Back up and replicate User Data for disaster recovery and service availability
  • Use anonymized, aggregated data for service improvement, analytics, and feature development
  • Comply with legal obligations and law enforcement requests

6.3 Data Retention and Deletion

Retention: WrenchReady retains User Data for as long as your account is active. We maintain 30-year retention for chemical records and hazardous waste logs to comply with OSHA recordkeeping requirements. Even after account cancellation, we maintain backups for up to 30 days for disaster recovery purposes.

Deletion: Upon account termination, User Data is deleted from active systems within 30 days. Historical backups containing User Data are retained for up to 90 days and then permanently deleted.

Data Export: Before cancellation, you may request an export of your User Data in CSV or PDF format. Such requests should be submitted via your account dashboard or support@wrenchready.com.

6.4 Restrictions on Use

You agree not to use the Service to:

  • Store or process data unrelated to compliance management for auto repair shops
  • Access, modify, or retrieve User Data of other accounts
  • Create derivative works or databases from User Data of other users

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Company IP

All intellectual property in WrenchReady—including software, code, design, documentation, trademarks, logos, and process methods—is owned by the Company or its licensors. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.

7.2 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Sublicense, transfer, or assign your license
  • Attempt to extract source code or underlying algorithms
  • Use our trademarks or branding without written permission
  • Reverse engineer or decompile any component of the Service

8. WARRANTY DISCLAIMER

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WRENCHREADY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
  • ACCURACY, COMPLETENESS, OR TIMELINESS OF INFORMATION
  • UNINTERRUPTED SERVICE OR FREEDOM FROM ERRORS OR DEFECTS

While WrenchReady implements industry-standard security measures (including AES-256 encryption) and maintains daily backups, we do not warrant that the Service is secure, that your data will not be lost, or that the Service will meet your specific requirements.

Compliance Responsibility: While WrenchReady provides tools to assist with OSHA, EPA, and DOT compliance, you remain solely responsible for ensuring your operations comply with all applicable regulations. The Service is a management tool and does not guarantee regulatory compliance. You should consult with qualified compliance professionals regarding your specific obligations.

9. LIMITATION OF LIABILITY

9.1 Cap on Liability

EXCEPT AS PROHIBITED BY LAW, THE TOTAL LIABILITY OF WRENCHREADY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO WRENCHREADY IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Excluded Damages

IN NO EVENT SHALL WRENCHREADY BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
  • COST OF SUBSTITUTE GOODS OR SERVICES
  • BUSINESS INTERRUPTION OR LOST BUSINESS OPPORTUNITY
  • DAMAGES RESULTING FROM THIRD-PARTY ACTIONS, INCLUDING DATA BREACHES, REGULATORY FINES, OR PENALTIES

This limitation applies regardless of the legal theory (contract, tort, strict liability, etc.) and even if the Company has been advised of the possibility of such damages.

9.3 Essential Terms

You acknowledge that the limitations in this Section are essential terms and that without them, the Company would not provide the Service at the price offered.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless WrenchReady and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service in violation of these Terms
  • Your violation of applicable laws or regulations
  • Your User Data or its content
  • Your violation of third-party rights (intellectual property, privacy, etc.)
  • Your breach of any representation or warranty in these Terms

This indemnification obligation does not apply to claims arising solely from WrenchReady's gross negligence or willful misconduct.

11. THIRD-PARTY SERVICES

11.1 Data Processing Partners

WrenchReady uses the following third-party service providers to deliver the Service:

  • Supabase: Database hosting, authentication, and data storage (GDPR compliant, SOC 2 Type 2 certified)
  • Vercel: Application hosting and content delivery (SOC 2 Type 2 certified)
  • Payment Processor: Payment processing and billing (PCI DSS compliant, likely Stripe or similar)
  • Email Service: Transactional and notification emails (compliance details available upon request)

These providers have signed Data Processing Agreements (DPAs) and are bound by our privacy and security requirements. By using WrenchReady, you consent to the processing of your data by these third-party services as described in our Privacy Policy.

11.2 Third-Party Links and Content

The Service may contain links to third-party websites and services. WrenchReady is not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is governed by their terms and privacy policies.

12. TERMINATION

12.1 Termination by You

You may terminate your subscription at any time by canceling through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Termination by WrenchReady

WrenchReady may terminate or suspend your account:

  • For Cause: Immediately, without notice, if you violate these Terms, misuse the Service, or violate applicable law
  • For Non-Payment: After 15 days' written notice if your account is delinquent
  • For Regulatory Reasons: Immediately if required by law or regulation
  • For Business Reasons: With 30 days' notice if we discontinue the Service or your account tier

12.3 Effect of Termination

Upon termination:

  • Your access to the Service is immediately revoked
  • You must stop using the Service
  • Your right to User Data ends, except as needed for legal compliance
  • Clauses that survive termination (Intellectual Property, Indemnification, Limitation of Liability, Governing Law) continue to apply
  • You remain responsible for charges incurred prior to termination

12.4 Data Upon Termination

Following account termination, User Data is deleted from active systems within 30 days. Backup copies are retained for disaster recovery for up to 90 days and then permanently destroyed.

13. COMPLIANCE WITH LAWS

13.1 Regulatory Compliance

You represent and warrant that your use of the Service complies with:

  • Occupational Safety and Health Administration (OSHA) regulations
  • Environmental Protection Agency (EPA) regulations
  • Department of Transportation (DOT) regulations
  • All applicable federal, state, and local laws

13.2 Export Compliance

The Service may not be exported to, accessed from, or used in countries under U.S. embargo or by individuals or entities on prohibited persons lists. You agree to comply with all export control regulations.

13.3 Sanctions Compliance

By using the Service, you represent that you and your organization are not subject to U.S. or international economic sanctions, and that you will not use the Service for purposes prohibited by sanctions regulations.

14. MODIFICATIONS TO SERVICE

WrenchReady may modify, suspend, or discontinue features of the Service at any time. Material changes that negatively affect service functionality or your User Data will be communicated with 30 days' notice when practicable. Continued use following notice constitutes acceptance of modifications.

We are not liable to you for modifications to the Service or temporary suspension for maintenance or updates.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

15.2 Dispute Resolution Process

Before pursuing formal legal action, you agree to attempt to resolve disputes through the following process:

  1. Informal Negotiation (30 days): Contact support@wrenchready.com with a detailed description of the dispute. Company management will respond within 10 business days.
  2. Mediation (if needed): If unresolved after 30 days, either party may request non-binding mediation through a mutually selected mediator in Puget Sound, Washington. Each party bears its own costs.
  3. Binding Arbitration (if mediation fails): If disputes are not resolved through the above process, the claim shall be finally settled by binding arbitration under JAMS (Judicial Arbitration and Mediation Services) rules, to be conducted in Seattle, Washington.

15.3 Arbitration Terms

  • A single arbitrator shall be selected according to JAMS rules
  • The arbitrator shall apply Washington law (not arbitration law)
  • Each party bears its own attorney's fees and costs unless the arbitrator awards fees as permitted by law
  • The arbitrator may award any relief available at law or in equity
  • Arbitration awards may be entered as judgment in any court of competent jurisdiction

15.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek injunctive relief in court for:

  • Intellectual property infringement or misappropriation
  • Confidentiality breaches
  • Violation of non-competition provisions (if applicable)

15.5 Class Action Waiver

You agree that arbitration shall be conducted on an individual basis only and not as a class action, class arbitration, or representative action. You waive the right to participate in class actions or representative proceedings against the Company.

15.6 Equitable Relief

Nothing in these Terms prevents either party from seeking equitable relief (injunctive relief, specific performance, etc.) in a court of competent jurisdiction.

16. CONFIDENTIALITY

16.1 Confidential Information

Each party agrees to keep the other's confidential information (including this Agreement's pricing terms and technical information) strictly confidential and use it only as necessary to perform obligations or exercise rights under these Terms.

16.2 Exceptions

Confidential information does not include information that:

  • Is publicly available through no breach of this Agreement
  • Was rightfully in your possession prior to disclosure
  • Is rightfully received from a third party without confidentiality restrictions
  • Is independently developed without use of the other's confidential information

16.3 Legal Disclosures

Either party may disclose confidential information if required by law, court order, or governmental request, provided they give reasonable notice to allow the other party to seek protective measures.

17.1 To WrenchReady

17.2 To You

Notices to you will be sent to the email address associated with your account or by posting to your account dashboard. Notices are effective when delivered by email (within 24 hours), when posted to your account, or as otherwise provided by law.

18. ENTIRE AGREEMENT

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WrenchReady regarding the Service. They supersede all prior agreements, understandings, and negotiations, whether written or oral. If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full effect.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If it cannot be modified, it shall be severed, and the remaining provisions shall continue in full force and effect.

20. WAIVER

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by both parties.

21. ASSIGNMENT

You may not assign, transfer, or sublicense these Terms or your subscription to any third party without WrenchReady's prior written consent. Any attempted assignment in violation of this clause is void. WrenchReady may assign these Terms to affiliates or successors without notice.
